This Agreement is entered into between Integral Contracting Inc. (“Contractor”) and __________________________ (“Client/Owner”) for property located at:

1. Licensing
Contractor is licensed by the Maryland Home Improvement Commission (MHIC #166339) to perform home improvement services in the State of Maryland.
2. Scope of Work
Contractor shall furnish all labor and materials necessary to complete the work described in the written Proposal/Scope of Work attached hereto and incorporated herein.
Work not specifically described is excluded.
3. Contract Price & Payments
The Contract Price shall be as stated in the Proposal.
Payments shall be made according to the agreed payment schedule. Failure to make payment when due shall constitute a material breach and may result in suspension of work until payment is received.
Contractor reserves all rights under Maryland law to recover unpaid amounts, including reasonable attorney’s fees where permitted.
4. Change Orders
All changes or deviations from the original scope must be documented in a written Change Order signed by both parties prior to commencement of additional work.
Change Orders shall be priced by one of the following methods, as mutually agreed:
Lump Sum Pricing, OR Time and Materials at $195.00 per hour, plus cost of materials and applicable markup.
5. Permits and Approvals
If required, Contractor shall obtain necessary permits.
Client shall be responsible for all permit-related costs, including but not limited to:

Permit fees
-
Drawing and printing services
-
Plan preparation
-
Engineering / Architectural services
-
Plan reviews
-
Required revisions or modifications
All such costs are in addition to the Contract Price.
6. Site Conditions
Client represents that the property is suitable for the Work.
Contractor is not responsible for concealed or unknown conditions including but not limited to:

Structural deficiencies
-
Code violations
-
Asbestos
-
Mold
-
Lead-based paint
-
Hazardous materials
Discovery of such conditions shall require a written Change Order to address.
7. Cleanup
Contractor shall maintain the project site in a reasonably clean condition.
Upon completion, the site shall be left in a “broom clean” condition.
All debris generated by Contractor shall be removed from the site.
Client shall be responsible for any dump fees, landfill charges, or disposal facility costs.
8. Access
Client shall provide reasonable access to the property and utilities (electricity, water, etc.) at no cost to Contractor.
9. Delays
Contractor shall not be liable for delays caused by:

Weather
-
Permit or inspection delays
-
Material shortages
-
Labor shortages
-
Acts of God
-
Governmental actions
-
Conditions beyond Contractor’s control
Completion time shall be extended accordingly.
10. Warranty
Contractor warrants workmanship for one (1) year from substantial completion.
This warranty excludes:

Normal wear and tear
-
Owner misuse or neglect
-
Damage caused by others or natural occurrences
-
Manufacturer defects (covered by manufacturer warranty only)
11. Insurance
Contractor maintains insurance as required by the State of Maryland. Proof of insurance is available upon request.
12. Dispute Resolution
Disputes shall be governed by Maryland law and through arbitration as set forth by MHIC..
13. Entire Agreement
This Agreement and any signed Change Orders constitute the entire agreement between the parties.
